Board Directors – Nominations 2019
The Sussex Cricket Limited Annual General Meeting will take place on Tuesday March 26th, 2019, in The Focus Group Boundary Rooms at The 1st Central County Ground, Hove, starting at 7.00pm. A formal Notice of the AGM, together with the agenda, reports and audited accounts, will be sent to members via post in late February/early March 2019.
In accordance with Rules 7.26, 7.27 & 7.28 and Regulation 12, the following Elected Directors are due to retire on completion of their term of office in March 2019:
- Richard Barrow (Individual Members Representative)
- Jon Filby (Individual Members Representative); and
- Gary Stanley (Affiliated Clubs Representative).
Following the Special General Meeting which took place on the 29th November 2019, a resolution was passed to reduce the number of Board Directors elected by Individual Members from six to four. Richard Barrow has indicated that he will not stand for re-election and therefore the current SCL Board of Directors has taken the decision to not replace this vacancy on the Board to enable the reduction process to begin.
Accordingly, there will be two vacancies arising in March 2019; one in respect of Individual Members and one in respect of Affiliated Clubs. Please note that both Jon Filby and Gary Stanley respectively are eligible and willing to stand again.
Nominations for these positions may be submitted in accordance with Rules 7.10 to 7.15 inclusive and also Regulation 10 (Qualification for Board Director), which sets out both the roles and responsibilities of a Board Director of Sussex Cricket Limited and the core skills and competencies required. The Board Director has the same general legal responsibilities as the directors of any other business or company, as stated in the Companies Act 2006.
I would strongly encourage you to consider who you think might be eligible and effective in this important role and nominate the Member concerned. The Board is also keen to increase diversity in terms of representation so please give some thought to this factor as well.
A candidate for election by Individual Members must be an Individual Member of not less than three years standing (i.e. the preceding three seasons) and aged between 18 years and 72 years at the time of nomination. A candidate for election by Affiliated Clubs must be a paid-up member of an Affiliated Club that has been an Affiliated Club of Sussex Cricket Limited for not less than three years and aged between 18 years and 72 years at the time of nomination.
Candidates must be nominated, in writing, by two paid up Members from the appropriate category (i.e. Individual Member or Affiliated Club), both of who must sign Form B. Those nominating shall satisfy themselves that the candidate is not disqualified from acting as a Director, as referred to in Rule 7.41. Subsequent to their receipt, the Board’s Nominations and Election Committee will review all nominations, as specified in Rules 7.13 and 7.14.
Nominations must be received in the Chief Executive’s office at The 1st Central County Ground, Hove by January 15th, 2019 and please note that Forms which are incomplete and/or not received before the deadline are invalid and will not be considered
In a situation whereby there are more nominations than vacancies (in either category of Elected Director), the Chief Executive shall send a voting paper to each Member qualified to vote giving the names of the candidates, together with those of the nominators and seconders, and any additional information relating thereto, in accordance with Rules 7.16 & 7.17.
